These Terms of Use (“Terms”) govern your access to and use of the KathalTech website, online store, products, services, content, and related digital services by accessing, browsing, creating an account, placing an order or otherwise using the KathalTech website you agree to be legally bound by these Terms. If you do not agree with any part of these Terms you must not use the website or Services. For the purposes of these Terms, “KathalTech,” “we” “us” and “our” refer to KathalTech and “you” “your” or “customer” refers to any person or entity accessing or using the Services.

1. Eligibility

You must have the legal capacity to enter into a binding agreement under applicable law to use the Services. If you are purchasing products or using the Services on behalf of a company, educational institution, organization or other entity you represent that you have the authority to bind that entity to these Terms. KathalTech reserves the right to refuse service, cancel transactions or restrict access where permitted by applicable law.

2. Website Use

You may use the KathalTech website only for lawful purposes and in accordance with these Terms. You must not:

• Use the website for fraudulent, unlawful, abusive, or deceptive purposes.

• Attempt to gain unauthorized access to the website, server, database, account, or any connected system.

• Interfere with or disrupt website operation or security.

• Introduce malicious code, viruses, malware, or other harmful material.

• Scrape, crawl, copy, reproduce, or systematically extract website content without prior written authorization.

• Impersonate another person, organization, employee, or representative of KathalTech.

• Use KathalTech's content, branding, or Services in a manner that may mislead customers or imply an unauthorized relationship with KathalTech.

KathalTech may suspend or terminate access to the website where we reasonably believe these Terms have been violated.

3. Product Information

KathalTech makes reasonable efforts to ensure that product descriptions, specifications, images, compatibility information, prices, availability and other product information are accurate. However:

• Product images may differ slightly from the actual product.

• Product specifications may change due to manufacturer revisions.

• Packaging, labeling, color, or appearance may vary.

• Component manufacturers may revise products without prior notice.

• Technical specifications displayed on the website may contain unintentional errors.

• Certain products may be supplied from different production batches or manufacturers where technically equivalent and permitted.

KathalTech reserves the right to correct errors, update product information and modify product specifications without prior notice. Where a material discrepancy affects an order, KathalTech may contact the customer before fulfillment or provide an appropriate remedy in accordance with applicable law and our applicable refund, return or replacement policy.

4. Product Compatibility

Customers are responsible for confirming that a product is suitable for their intended application before purchasing. This is particularly important for:

• Microcontrollers

• Sensors

• Modules

• Development boards

• Electronic components

• Power supplies

• Motors and drivers

• Communication modules

• Robotics components

• IoT equipment

• DIY electronics kits

KathalTech may provide technical specifications and general guidance but such information does not constitute a guarantee that a product will work with a customer's particular circuit, project, software, hardware configuration, operating environment or application. Unless expressly stated otherwise KathalTech does not guarantee compatibility with a specific third party product, system, software, project or application.

5. Orders

Submitting an order through the website constitutes an offer to purchase the selected products.

An order is not necessarily accepted merely because:

• The order has been submitted

• You receive an automated order acknowledgment

• A payment has been initiated

• The website displays an order number

KathalTech reserves the right to accept, reject, limit or cancel an order where permitted by law, including in circumstances involving:

• Incorrect pricing

• Product unavailability

• Inventory discrepancies

• Suspected fraud

• Duplicate or abusive orders

If KathalTech cancels an order after payment has been received the applicable amount will be refunded in accordance with our refund policy and applicable law.

All prices displayed on the website are subject to change without prior notice unless otherwise required by applicable law. Prices may be affected by:

• Exchange-rate fluctuations

Where applicable, VAT, delivery charges, service charges or other applicable fees may be added to the displayed product price. KathalTech reserves the right to correct pricing errors. If an order contains a material pricing error KathalTech may contact the customer before fulfillment or cancel the affected order and provide an appropriate refund where required.

7. Promotions and Discounts

Promotional offers, discount codes, campaigns, bundles and special pricing may be subject to additional conditions. Unless expressly stated otherwise:

• Promotions cannot be combined

• Discount codes cannot be exchanged for cash

• Promotional offers may have limited quantities or validity periods

• KathalTech may withdraw or modify a promotion where permitted by law

• Certain products may be excluded from promotional campaigns

• A promotion cannot be applied retroactively to completed orders unless expressly permitted

8. Payment

Customers must provide accurate and complete payment information when placing an order. KathalTech may use third-party payment processors, banks, mobile financial services, payment gateways or other authorized payment providers. KathalTech is not responsible for failures, delays, interruptions or unauthorized activity occurring within a third party payment provider's systems except to the extent caused by KathalTech's own actions or required otherwise by applicable law. An order may remain unfulfilled until payment has been successfully confirmed.

9. Delivery and Shipping

KathalTech will make reasonable efforts to dispatch and deliver orders within the estimated timeframe communicated to the customer. Delivery estimates are not absolute guarantees unless expressly stated otherwise. Delivery may be affected by:

• Courier delays

• Weather

• Natural disasters

• Public holidays

• Transportation disruptions

• Incorrect customer information

• Customer unavailability

• Payment verification

• Security checks

• Government restrictions

• Force majeure events

• Other circumstances outside KathalTech's reasonable control

Customers are responsible for providing accurate delivery information. If an order cannot be delivered because the customer provides incorrect or incomplete information, refuses delivery, remains unavailable, or otherwise causes the delivery failure, additional delivery charges may apply where permitted.

10. Inspection Upon Delivery

Customers should inspect delivered products as soon as reasonably possible. If a product appears physically damaged, incomplete, incorrect or materially different from the ordered product the customer should contact KathalTech promptly and provide relevant evidence which may include photographs, videos, packaging information, order details or other documentation. Failure to immediately report an issue does not automatically eliminate rights that cannot legally be excluded. However delayed reporting may make investigation and verification more difficult.

11. Returns, Refunds, Replacements and Warranty

Returns, refunds, replacements, cancellations and warranty claims are governed by KathalTech's applicable policies. Where a separate Refund, Return, Replacement, Cancellation, or Warranty Policy applies that policy forms part of these Terms. Customers must comply with applicable eligibility requirements, claim periods, product-condition requirements and evidence requirements. Products damaged through misuse, improper installation, incorrect voltage, electrical overload, physical damage, unauthorized modification, liquid exposure, negligence or use outside manufacturer specifications may not qualify for return, replacement or warranty service where permitted by applicable policy and law.

12. Electronic Components and Technical Products

Many KathalTech products are intended for educational, development, prototyping, hobby, research, engineering or general electronics applications. Customers are responsible for:

• Following manufacturer documentation

• Using appropriate power supplies

• Observing voltage and current limitations

• Following electrical safety practices

• Properly installing and handling components

• Using appropriate protective equipment where necessary

• Ensuring that their project complies with applicable laws and safety standards

KathalTech is not responsible for damage caused by incorrect wiring, incorrect voltage, reverse polarity, short circuits, improper programming, electrostatic discharge, physical damage, unauthorized modifications, incompatible components or misuse except where responsibility cannot lawfully be excluded.

13. User Accounts

Certain Services may require you to create an account. You are responsible for:

• Providing accurate information

• Maintaining the confidentiality of your login credentials

• Securing your account

• Updating inaccurate account information

• Notifying KathalTech of suspected unauthorized access

You are responsible for activity conducted through your account unless the activity resulted from circumstances for which you are not legally responsible. • Source code

• Layouts

• User interface elements

• Other original materials

Is owned by KathalTech, its licensors or the applicable rights holders and is protected by applicable intellectual-property laws. Unless expressly permitted by KathalTech in writing you may not reproduce, distribute, modify, publish, transmit, sell, license, create derivative works from or commercially exploit KathalTech content. Limited personal, non commercial use of website content is permitted only where such use does not infringe KathalTech's rights.

15. Trademarks

“KathalTech” and associated logos, names, designs, slogans and branding elements may constitute trademarks or protected brand assets. You may not use KathalTech's trademarks or branding without prior written authorization, except where such use is permitted by applicable law. Unauthorized use that creates confusion regarding sponsorship, affiliation, endorsement or ownership is prohibited.

16. User Submitted Content

If you submit reviews, comments, photographs, feedback, suggestions, testimonials, questions, or other content to KathalTech (“User Content”) you represent that:

• You have the right to submit the content

• The content does not infringe another person's intellectual property, privacy or other rights

• The content is not unlawful, fraudulent, defamatory, abusive, or malicious

• The content does not contain malicious software or harmful code

By submitting User Content, you grant KathalTech a non exclusive, worldwide, royalty free license to use, reproduce, display, publish, adapt and distribute the content for legitimate business, marketing, operational or service improvement purposes, subject to applicable law. KathalTech may remove or refuse to publish User Content at its discretion where permitted by law.

17. Prohibited Transactions and Abuse

KathalTech reserves the right to investigate and restrict transactions that appear fraudulent, abusive, suspicious or unlawful. Prohibited conduct may include:

• Payment fraud

• False identity or contact information

• Repeated fraudulent orders

• Abuse of promotional offers

• Unauthorized resale where prohibited

21. Limitation of Liability

To the maximum extent permitted by applicable law, KathalTech shall not be liable for indirect, incidental, special, consequential, exemplary or punitive damages arising from or related to the use of the website or Services. This may include loss arising from:

• Loss of business opportunities

• Loss of data

• Business interruption

• Project delays

• System downtime

• Consequential business losses

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law, including liability that cannot lawfully be excluded or limited.

22. Indemnification

To the maximum extent permitted by applicable law you agree to indemnify and hold harmless KathalTech, its owners, directors, employees, representatives, affiliates and service providers from claims, losses, liabilities, damages, costs and expenses arising from:

• Your unlawful use of the website

• Your misuse of products

• Your infringement of third-party rights

• Fraudulent or unauthorized activity conducted through your account

• Your User Content

This provision applies only to the extent permitted by applicable law.

23. Force Majeure

KathalTech shall not be responsible for delay or failure to perform obligations caused by circumstances beyond its reasonable control. Such circumstances may include:

• Epidemics or pandemics

• War

• Civil unrest

• Government action

• Strikes

• Transportation disruption

These Terms, together with the Privacy Policy, Refund/Return Policy, Warranty Policy, Shipping Policy and any additional terms expressly applicable to specific products or Services, constitute the agreement governing your use of the KathalTech website and Services except where applicable law requires otherwise.

29. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the applicable laws of Bangladesh. Subject to any mandatory consumer protection or other legal rights that cannot be restricted by contract, disputes arising from or relating to these Terms or the Services shall be subject to the jurisdiction of the competent courts of Bangladesh. Nothing in this section prevents a consumer from exercising any mandatory legal right or remedy available under applicable law.

30. Acceptance of Terms

By accessing or using the KathalTech website, creating an account, submitting an order, purchasing a product or otherwise using our Services, you acknowledge that you have read, understood and agreed to these Terms of Use. If you do not agree to these Terms you must discontinue use of the website and Services.
